Affiliate Terms of Service

Effective Date: September 11, 2026

1. Agreement; Incorporation of MOONCHILD Terms

By applying to, accepting an invitation to, accessing, or participating in the MOONCHILD Affiliate Program or any related referral, commission, reward, creator, ambassador, or promotional service (collectively, the “Program”), you (“Affiliate,” “Participant,” “Creator,” or “you”) agree to these Affiliate Terms of Service (“Affiliate Terms”), MOONCHILD’s Terms of Use available at https://www.moonchild.app/terms/, and MOONCHILD’s Privacy Policy available at https://www.moonchild.app/privacy-policy/.

These Affiliate Terms supplement rather than replace the MOONCHILD Terms of Use. The Terms of Use continue to govern access to and use of MOONCHILD websites, applications, subscriptions, products, services, and content. If there is a direct conflict concerning an affiliate-specific matter, these Affiliate Terms control only for that affiliate-specific matter unless a written campaign agreement or platform term expressly states otherwise.

The governing-law, dispute-resolution, limitation-of-liability, warranty, intellectual-property, privacy, electronic-communications, and other general contractual provisions contained in the MOONCHILD Terms of Use are incorporated by reference to the extent applicable. This approach is intended to keep the Affiliate Terms consistent with MOONCHILD’s primary customer-facing legal terms.

2. Program Operator and Contact

The Program is operated by MOONCHILD LLC (“MOONCHILD,” “we,” “us,” or “our”). Program questions, notices, and support requests may be directed to support@moonchild.app unless a Program platform or written Affiliate Offer specifies another contact method.

3. Definitions

3.1 Affiliate Offer

“Affiliate Offer” means the approval notice, commission schedule, campaign brief, dashboard record, email, platform offer, or other written communication that identifies an Affiliate’s approved services, Referral Tools, commission or reward structure, eligible products or subscriptions, attribution rules, payout terms, and other commercial terms.

3.2 Referral Tools

“Referral Tools” means any authorized campaign link, referral link, discount code, promotional code, offer code, UTM-tagged link, campaign token, affiliate identifier, QR code, landing page, or other tracking mechanism supplied or approved by MOONCHILD.

3.3 Qualifying Transaction

“Qualifying Transaction” means an eligible, completed, paid, non-fraudulent purchase, subscription, renewal, or other conversion that is validly attributed to an Affiliate under the applicable Affiliate Offer and these Affiliate Terms and that has not been refunded, canceled, charged back, reversed, or otherwise disqualified.

3.4 Program Earnings

“Program Earnings” means the commission, reward, store credit, flat fee, revenue share, or other compensation that MOONCHILD determines is earned from a Qualifying Transaction under the applicable Affiliate Offer.

3.5 Program Services

“Program Services” include the Adopter Affiliate Service, Apple/iOS Subscription Referral Service, Google Play Subscription Referral Service, Shopify Product Affiliate Service, and Creator Partnership Service described below. An Affiliate may be approved for one or more Program Services.

4. Eligibility, Application, Approval, and Account Information

Applicants must be at least eighteen (18) years old or the age of majority in their jurisdiction, whichever is greater, and legally capable of entering into a binding agreement. The Program is not open to minors.

Applications must be accurate, complete, and submitted by the person seeking participation. Submission does not guarantee approval. MOONCHILD may accept, reject, pause, waitlist, limit, or request additional information regarding any application in its discretion, subject to applicable law.

You must keep your name, email address, payment details, tax information, business information, and other Program information current. You may not create duplicate accounts, impersonate another person, conceal a material identity, or use false information to obtain Program benefits.

Approval may be limited by Program Service, geography, campaign, product, subscription plan, platform, channel, or time period. MOONCHILD may approve an applicant for one service and not another.

5. Affiliate Offer and Order of Commercial Terms

Commercial terms may vary by Affiliate, Program Service, campaign, product, platform, or time period. The Affiliate Offer controls the specific commission rate or reward, whether subscription renewals qualify, the holding period, payout frequency, minimum payout threshold if any, eligible products or plans, and other variable commercial terms.

If the Affiliate Offer is silent on a commercial term, these Affiliate Terms apply. If a written campaign agreement signed by MOONCHILD conflicts with an Affiliate Offer, the signed campaign agreement controls for that campaign.

6. Referral Tools; Ownership; Authorized Use

Referral Tools are issued for use by the approved Affiliate only. They may not be sold, transferred, sublicensed, rented, assigned, or shared with another affiliate account without written permission from MOONCHILD.

MOONCHILD may replace, disable, expire, or modify a Referral Tool when needed for fraud prevention, platform compatibility, campaign administration, technical changes, or Program updates. Affiliates are responsible for using the current Referral Tools made available to them.

7. Program Service A — MOONCHILD Adopter Affiliate Service

7.1 Purpose

The Adopter Affiliate Service is intended for MOONCHILD users, customers, supporters, clients, friends, and community members who genuinely connect with MOONCHILD and want to share it through word-of-mouth referrals. A public social-media following, follower minimum, website, or creator account is not required unless a particular Affiliate Offer states otherwise.

7.2 Approved Channels

Adopter Affiliates may share approved Referral Tools through ordinary personal, professional, community, email, text, event, website, or social channels only when the communication is lawful, truthful, non-spammy, appropriate for the recipient, and compliant with these Affiliate Terms.

7.3 No Representation as MOONCHILD Staff

Adopter Affiliates are independent participants. They may describe themselves as a “MOONCHILD Affiliate,” “MOONCHILD Adopter Affiliate,” or other title specifically approved by MOONCHILD, but may not imply employment, ownership, agency, medical authority, or authority to bind MOONCHILD.

8. Program Service B — Apple / iOS Paid App Subscription Referrals

8.1 Attribution Method

MOONCHILD may assign an iOS Affiliate one or more App Store campaign links, campaign tokens, subscription offer codes, offer references, or other Apple-supported attribution methods. The specific method available may change based on Apple tools and MOONCHILD’s current subscription configuration.

8.2 Campaign Reporting and Privacy Thresholds

Apple campaign reporting may include campaign-attributed product-page activity, downloads, sales, and subscriptions. Apple may suppress or aggregate campaign metrics until its reporting thresholds are met. Accordingly, MOONCHILD may be unable to verify an individual affiliate conversion immediately or at all when Apple does not provide sufficient campaign-level reporting.

8.3 Offer Codes Are Promotional Tools

An Apple subscription offer code, when provided, may give an eligible user a promotional subscription offer. An offer code is not automatically the sole attribution method and does not guarantee commission. Eligibility for commission remains governed by MOONCHILD’s Affiliate Offer and the reports reasonably available to MOONCHILD.

8.4 New Subscriptions and Renewals

Whether commission applies only to the initial paid subscription, to specified paid renewals, or to another subscription event will be stated in the Affiliate Offer. If the Affiliate Offer does not expressly state that renewals are commissionable, renewals are not commissionable.

8.5 Apple Is a Third-Party Platform

Apple Inc. and its affiliates are not parties to these Affiliate Terms and do not sponsor or administer the MOONCHILD Affiliate Program. App Store purchases, subscription billing, refunds, cancellations, eligibility, and reporting are also subject to Apple’s applicable terms, policies, technical limitations, and privacy practices.

9. Program Service C — Google Play Paid App Subscription Referrals

9.1 Attribution Method

MOONCHILD may assign a Google Play Affiliate a UTM-tagged Google Play link, campaign identifier, subscription promo code, or other Google-supported tracking or promotional method. The exact method may vary as Google Play tools and MOONCHILD’s subscription configuration change.

9.2 UTM and Acquisition Reporting

Google Play reporting may identify traffic and acquisition performance using UTM source and UTM campaign values and may aggregate or suppress data that does not meet reporting thresholds. MOONCHILD may use available Google Play Console reports, subscription reports, transaction records, or other reasonable records to reconcile eligible referrals.

9.3 Promo Codes

Google Play subscription promo codes, if provided, are promotional tools subject to Google’s eligibility, redemption, and subscription rules. A promo code does not by itself guarantee a commission unless the resulting transaction satisfies the Affiliate Offer and can be reasonably verified as eligible.

9.4 New Subscriptions and Renewals

Whether commission applies to the initial paid subscription, specified paid renewals, or another subscription event will be stated in the Affiliate Offer. If the Affiliate Offer does not expressly state that renewals are commissionable, renewals are not commissionable.

9.5 Google Is a Third-Party Platform

Google LLC and its affiliates are not parties to these Affiliate Terms and do not sponsor or administer the MOONCHILD Affiliate Program. Google Play purchases, subscriptions, refunds, cancellations, eligibility, and reporting are also subject to Google’s applicable terms, policies, technical limitations, and privacy practices.

10. Program Service D — Shopify Product and Kit Affiliate Service

10.1 Eligible Store Transactions

MOONCHILD may provide a Shopify referral link, discount code, Collabs link or code, or other store attribution method for eligible MOONCHILD products, kits, merchandise, workshops, or other Shopify offerings identified in the Affiliate Offer.

10.2 Commission Base

Unless otherwise stated in the Affiliate Offer, Shopify commission is calculated only on eligible product revenue actually received by MOONCHILD after applicable discounts and before or after taxes, shipping, duties, and similar charges as specified in the Affiliate Offer. Gift cards, taxes, shipping, refunded amounts, and excluded products are not commissionable unless expressly stated otherwise.

10.3 Returns, Refunds, and Holding Period

Shopify commissions may remain pending during a return, refund, fraud-review, or platform holding period. If an order is canceled, refunded, charged back, returned, or otherwise reversed, the related commission may be canceled, reversed, deducted from future Program Earnings, or recovered as permitted by law and the applicable platform.

10.4 Shopify Collabs

If an Affiliate participates through Shopify Collabs, Collabs may create and track links or discount codes, apply platform holding periods, process commissions, require payout onboarding, and impose separate platform terms. Shopify’s records may be used to determine Collabs-attributed orders and payments, subject to MOONCHILD’s right to investigate errors, fraud, returns, or disputes.

10.5 Shopify Is a Third-Party Platform

Shopify and Shopify Collabs are third-party services. Their availability, tracking, payment processing, reporting, fees, payout methods, and terms may change independently of MOONCHILD.

11. Program Service E — Creator Partnership Service

11.1 Scope

The Creator Partnership Service is intended for creators, influencers, photographers, videographers, writers, educators, event partners, and other content or community partners. Opportunities may include affiliate marketing, gifting, paid campaigns, content production, usage rights, product launches, event participation, speaking, workshops, or other collaborations.

11.2 Separate Campaign Terms

A creator campaign may be subject to a separate brief, statement of work, content license, usage-rights agreement, deliverables schedule, exclusivity period, approval process, payment term, or other written terms. Those campaign-specific terms supplement these Affiliate Terms.

11.3 Gifting

Receipt of a complimentary or discounted product does not guarantee a paid campaign, positive review, continued partnership, or future compensation. If the Creator mentions the gifted or discounted item, the material connection must be disclosed as required by law and platform rules.

11.4 Content Approval and Accuracy

Where a campaign requires pre-approval, Creator must provide content for review by the stated deadline and may not publish unapproved health, fertility, scientific, pricing, promotional, or product claims. Approval of a specific post does not authorize materially different claims in later content.

12. Attribution; Reporting; Platform Limitations

Attribution is based on the Referral Tool, platform report, transaction record, and rules designated for the applicable Program Service. Different platforms use different measurement methods, reporting windows, privacy thresholds, device rules, cookies, account-level data, and technical limitations. Numbers from different systems may not match.

MOONCHILD is not responsible for attribution that is lost, delayed, aggregated, suppressed, or unavailable because of deleted cookies, privacy settings, device changes, browser restrictions, app-store privacy thresholds, platform limitations, disabled tracking, incorrect Referral Tools, user error, technical interruptions, ad blockers, cross-device behavior, or other circumstances outside MOONCHILD’s reasonable control.

MOONCHILD may use its good-faith reconciliation of reasonably available platform reports and records as the controlling Program record. Affiliate dashboards and statements are provided for convenience and may be updated when late reports, refunds, reversals, corrections, or reconciliation data become available.

MOONCHILD will not provide an Affiliate with another customer’s private health, menstrual, fertility, payment, account, or personally identifying information merely to prove attribution. Reporting may therefore be aggregate, de-identified, or limited to counts and eligible revenue.

13. Qualifying Transactions and Exclusions

Unless the Affiliate Offer expressly states otherwise, only completed, paid, non-fraudulent transactions that are properly attributed and meet all Program requirements are eligible for Program Earnings.

Transactions may be excluded, canceled, or reversed when they involve:

• returns, refunds, cancellations, chargebacks, billing reversals, failed payments, payment disputes, or fraudulent transactions;

• test orders, duplicate orders, duplicate subscriptions, obvious tracking errors, or transactions that violate Program rules;

• self-referrals or purchases made primarily to manufacture Program Earnings, unless the Affiliate Offer expressly permits self-purchases;

• unauthorized coupon, discount, cashback, loyalty, incentive, browser-extension, adware, cookie-stuffing, forced-click, click-injection, or other manipulative attribution methods;

• orders or subscriptions that cannot be reasonably verified through available platform records;

• taxes, shipping, duties, gift cards, free products, excluded products, non-eligible subscription plans, or other categories identified as noncommissionable; or

• transactions generated through prohibited advertising or other material violation of these Affiliate Terms.

14. Commission and Reward Calculation

Commission rates, flat-fee amounts, revenue-share percentages, store-credit amounts, and other reward structures are stated in the Affiliate Offer. MOONCHILD may use different rates for different Program Services, products, subscription plans, campaigns, affiliates, or promotional periods.

Unless expressly stated otherwise, a commission percentage applies only to the commissionable revenue defined in the Affiliate Offer, not gross customer spend. A flat fee applies only to the qualifying event stated in the Affiliate Offer.

No commission is earned merely because a person clicks a link, installs the app, begins a free trial, redeems a free offer, creates an account, or enters a code unless the Affiliate Offer expressly designates that event as commissionable.

15. Payment; Holding Periods; Minimums; Adjustments

The payout method, payout schedule, holding period, payment threshold if any, and currency are stated in the Affiliate Offer or applicable platform. MOONCHILD may delay payment while a transaction remains subject to refund, chargeback, fraud review, platform reconciliation, required tax documentation, or a reasonable Program investigation.

MOONCHILD may offset future Program Earnings for previously paid amounts tied to refunded, reversed, fraudulent, duplicate, or otherwise ineligible transactions. If no future earnings are available, MOONCHILD may request repayment when legally permitted.

An Affiliate must raise a good-faith commission dispute within sixty (60) days after the relevant statement or payout is made available, unless a longer period is required by law. The Affiliate should identify the transaction, platform, date, and basis for the dispute. MOONCHILD will review reasonably available records and respond in good faith.

16. Taxes and Payment Information

Affiliates are responsible for their own federal, state, local, and other taxes, reporting obligations, licenses, permits, and business expenses arising from Program participation. MOONCHILD or a payment/platform provider may require tax forms, taxpayer identification, identity verification, payout information, or other documentation before payment. Payments may be delayed or limited when required documentation is missing.

17. Required Advertising and Affiliate Disclosures

Whenever an Affiliate makes an endorsement or recommendation and has a material connection to MOONCHILD — including a commission opportunity, payment, free or discounted product, gift, employment or family connection, or another benefit — the Affiliate must clearly and conspicuously disclose that connection in a manner consumers are likely to notice and understand.

The disclosure must accompany the endorsement itself and should not be hidden only in a profile, terms page, hashtag cluster, link page, or “more” expansion. For visual or video content, disclosures should be placed in the content when appropriate. Platform disclosure tools may be used in addition to, but not necessarily instead of, a clear disclosure.

Examples that may be appropriate depending on context include: “I may earn a commission if you purchase through my link,” “Paid partnership with MOONCHILD,” “Sponsored by MOONCHILD,” or “MOONCHILD gifted this product to me.” The Affiliate remains responsible for using a disclosure suitable for the actual relationship, medium, audience, and law.

18. Truthful Endorsements; Testimonials; Reviews

All endorsements must reflect the Affiliate’s honest opinions, findings, beliefs, or genuine experience. Affiliates may not claim to have used an app feature, product, kit, service, or subscription they have not actually used when the content represents personal experience.

Affiliates may not fabricate reviews, purchase fake engagement, suppress genuine negative reviews, misrepresent typical results, or condition a benefit on a required positive review. Any incentivized review or testimonial must be handled in accordance with applicable law and platform rules.

19. Health, Menstrual, Fertility, and Medical Claims

MOONCHILD is not a licensed medical care provider. MOONCHILD’s app, products, educational materials, kits, lunar content, tracking tools, and affiliate materials are not intended to replace professional medical advice; diagnose, treat, cure, prevent, or manage an illness or medical condition; or serve as a birth-control method or contraceptive.

Affiliates must not:

• state or imply that MOONCHILD guarantees conception, pregnancy, fertility, ovulation, menstrual-cycle outcomes, diagnosis, treatment, prevention, cure, or any other health result;

• state or imply that a lunar phase, Natal Moon, Moon Mandala, MOONCHILD framework, or other lunar reference causes menstruation, ovulation, fertility, conception, pregnancy, or a medical outcome;

• present a hypothesis, observational pattern, early-stage research, user story, patent concept, product feature, or personal experience as established scientific or medical fact;

• use testimonials in a way that implies an atypical fertility or pregnancy outcome is what consumers generally should expect;

• give individualized medical advice on behalf of MOONCHILD or represent themselves as a MOONCHILD medical professional unless expressly authorized and professionally qualified; or

• make a disease, treatment, hormone, diagnostic, or clinical claim that is not specifically approved by MOONCHILD and adequately substantiated.

Affiliates may accurately describe their own genuine experience and current published MOONCHILD features, provided the description is truthful, appropriately qualified, not misleading, and consistent with current MOONCHILD-approved materials.

20. Pricing, Discounts, Offers, and Subscription Statements

Affiliates may advertise only current prices, discounts, trials, offer codes, subscription periods, renewal terms, and promotions supplied or approved by MOONCHILD. Affiliates may not create unauthorized discounts, claim that an offer is permanent, misstate a deadline, or imply scarcity that MOONCHILD has not authorized.

App subscription billing, trials, renewals, cancellation rights, and refunds are governed by the applicable app store and the subscription terms presented to the customer at purchase. Shopify product pricing, shipping, returns, refunds, and other purchase terms are governed by MOONCHILD’s store policies and the terms presented to the customer.

21. Brand License and Intellectual Property

During active participation and subject to these Affiliate Terms, MOONCHILD grants the Affiliate a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use MOONCHILD-approved names, logos, images, Referral Tools, and promotional materials solely to perform approved Program activities.

All MOONCHILD trademarks, service marks, trade dress, copyrights, software, designs, app screens, copy, graphics, proprietary methods, and other intellectual property remain owned by MOONCHILD or its licensors. Except for the limited Program license, no ownership or other rights are transferred.

Affiliates may not materially alter a MOONCHILD logo, create confusingly similar branding, register a domain or social handle containing MOONCHILD or a confusing variation, use MOONCHILD as a business name, or imply that an affiliate-operated page is an official MOONCHILD property.

22. Paid Advertising, Search, Domain, Coupon, and Traffic Restrictions

Unless an Affiliate Offer expressly authorizes it in writing, Affiliates may not:

• bid on “MOONCHILD,” “MOONCHILD app,” MOONCHILD product names, misspellings, or confusingly similar terms in paid search or app-store advertising;

• purchase domains, handles, keywords, or ads designed to impersonate MOONCHILD or intercept users who are already seeking MOONCHILD;

• use unauthorized coupon, cashback, browser-extension, toolbar, pop-up, pop-under, forced-redirect, cookie-stuffing, click-injection, adware, malware, bot, automated-traffic, or other deceptive traffic methods;

• publish private, expired, leaked, or unauthorized codes on deal or coupon websites; or

• run ads that make claims or use creative that MOONCHILD would not be permitted to make directly.

23. Email, SMS, Direct Message, and Community Outreach

Affiliates are responsible for complying with applicable email, text-message, privacy, telemarketing, anti-spam, direct-marketing, and platform rules. Affiliates may not send deceptive or unsolicited bulk communications, scrape contact information, purchase unlawful lists, or represent a message as being sent by MOONCHILD when it is not.

Personal word-of-mouth sharing is permitted when appropriate, but the Affiliate must respect opt-outs, privacy, professional boundaries, and the recipient’s reasonable expectations.

24. Minors and Sensitive Audiences

Only adults may participate as Affiliates. Affiliates may not recruit minors into the Program or collect children’s or teens’ personal, menstrual, fertility, or health information on behalf of MOONCHILD. When discussing MOONCHILD products intended for parents, caregivers, teens, or first-period education, Affiliates must use age-appropriate, factual, non-exploitative messaging and comply with applicable advertising and privacy law.

25. Participant Content and Creator Usage Rights

Affiliates retain ownership of original content they create unless a separate written agreement provides otherwise. General participation in the Adopter Affiliate Service does not automatically transfer ownership of an Affiliate’s content to MOONCHILD.

If MOONCHILD requests permission to repost, edit, advertise, whitelist, license, or otherwise use Creator content, the scope, media, term, territory, exclusivity, compensation, and usage rights should be stated in the applicable campaign brief, written permission, platform authorization, or separate agreement. A social-media tag alone does not grant unlimited paid-media usage rights.

26. Confidentiality

Affiliates must protect non-public information obtained through the Program, including unreleased product information, private pricing or campaign terms, unpublished research, private analytics, private customer information, non-public codes, security information, business plans, and other information that a reasonable person would understand to be confidential.

Confidential information may be used only for the Program purpose for which it was disclosed and may not be shared without authorization, except when disclosure is required by law.

27. Privacy and Personal Data

MOONCHILD handles personal information in accordance with its Privacy Policy and applicable law. Affiliates must not request, collect, store, process, sell, or share menstrual-cycle data, fertility data, health information, account credentials, payment data, or other sensitive information on behalf of MOONCHILD unless MOONCHILD has expressly authorized the activity in writing and provided appropriate privacy and security instructions.

Affiliates should direct users to MOONCHILD’s official app, website, store, forms, and support channels rather than collecting sensitive user information themselves. An Affiliate will generally receive aggregate or attribution-level reporting rather than customer-level health or subscription information.

28. Data Security

Affiliates must use reasonable safeguards to protect Program credentials, Referral Tools, dashboards, reports, tax documents, and confidential information. Suspected compromise, unauthorized access, lost credentials, or misuse of Referral Tools must be reported promptly to MOONCHILD.

29. Independent Contractor; No Agency; No Exclusivity

Affiliates are independent contractors and not employees, agents, partners, franchisees, joint venturers, fiduciaries, or legal representatives of MOONCHILD. Nothing in the Program creates employment benefits, workers’ compensation coverage, authority to bind MOONCHILD, or a right to act on MOONCHILD’s behalf.

Unless a separate written agreement states otherwise, participation is non-exclusive. Affiliates are responsible for their own equipment, expenses, insurance, taxes, licenses, permits, business operations, and legal compliance.

30. Compliance Monitoring; Records; Corrective Action

MOONCHILD may review public promotional content, Program activity, Referral Tool use, traffic quality, transaction data, disclosures, and other information reasonably necessary to administer the Program, prevent abuse, verify Program Earnings, protect consumers, and enforce these Affiliate Terms.

Affiliates agree to reasonably cooperate with compliance inquiries and, when requested, promptly correct or remove noncompliant content. MOONCHILD may issue guidance, require disclosures, pause Referral Tools, hold disputed earnings, or take other reasonable corrective action.

31. Suspension and Termination

Either the Affiliate or MOONCHILD may end participation at any time unless a separate signed agreement states otherwise. MOONCHILD may suspend or terminate participation immediately when it reasonably believes there is fraud, abuse, deceptive marketing, prohibited claims, legal or regulatory risk, security risk, brand harm, failure to provide required tax/payment information, material misrepresentation, or violation of these Affiliate Terms, the MOONCHILD Terms of Use, a campaign agreement, or applicable platform rules or law.

Termination may apply to one Program Service or the entire Program.

32. Effect of Termination

Upon termination, the Affiliate must stop presenting themselves as an active MOONCHILD Affiliate, stop using disabled or expired Referral Tools, and discontinue use of MOONCHILD materials for which permission has ended. Sections that by their nature should survive — including payment reconciliation, confidentiality, intellectual property, privacy, disclaimers, limitations, indemnification, dispute provisions, and record obligations — survive termination.

Valid Program Earnings accrued before termination remain subject to verification, holding periods, returns, chargebacks, reversals, offsets, tax documentation, and other applicable Program rules. Fraudulent or ineligible earnings are not payable.

33. Changes to the Program or Terms

MOONCHILD may modify, pause, replace, or discontinue a Program Service, Affiliate Offer, Referral Tool, commission structure, or these Affiliate Terms. Material changes may be communicated through the affiliate page, email, dashboard, platform notice, updated terms, or another reasonable method. Changes to commission structures apply prospectively unless applicable law or a written agreement requires otherwise.

Continued participation after the effective date of updated terms constitutes acceptance to the extent permitted by law. If an Affiliate does not agree, the Affiliate must stop participating.

34. Program Availability; No Guarantee of Earnings or Opportunity

MOONCHILD does not guarantee Program availability, uninterrupted tracking, any minimum number of clicks, installs, subscriptions, sales, renewals, commissions, rewards, store credits, payouts, gifts, campaigns, content opportunities, or other earnings. Participation may produce no earnings.

Referral reporting can be delayed, incomplete, aggregated, or unavailable because of third-party platform privacy and technical rules. MOONCHILD does not guarantee that every customer action can be attributed to an Affiliate.

35. Disclaimers

The disclaimers contained in MOONCHILD’s Terms of Use are incorporated into these Affiliate Terms. To the fullest extent permitted by law, the Program, dashboards, Referral Tools, reports, promotional materials, and related services are provided on an “as is” and “as available” basis, subject to the warranties that cannot lawfully be disclaimed.

MOONCHILD does not warrant that third-party platforms will remain available, preserve current attribution methods, provide a particular level of reporting, accept a code, approve a promotion, maintain a payment method, or operate without interruption or error.

36. Limitation of Liability

The limitation-of-liability provisions in MOONCHILD’s Terms of Use are incorporated by reference. Without limiting those provisions, and to the fullest extent permitted by law, MOONCHILD is not liable for lost attribution, suppressed platform data, third-party platform outages, lost profits, lost business opportunities, or indirect, incidental, special, consequential, exemplary, or punitive damages arising from Program participation, except where such limitation is prohibited by law.

37. Indemnification

To the fullest extent permitted by applicable law and consistent with the MOONCHILD Terms of Use, the Affiliate agrees to defend, indemnify, and hold harmless MOONCHILD and its officers, directors, employees, contractors, agents, successors, and assigns from third-party claims, damages, losses, liabilities, penalties, costs, and reasonable legal fees arising from or related to the Affiliate’s unlawful or unauthorized marketing, content, claims, privacy violations, intellectual-property infringement, tax obligations, misconduct, or material breach of these Affiliate Terms. Any indemnification obligation is subject to applicable law and any controlling provisions in the MOONCHILD Terms of Use.

38. Third-Party Platforms and No Third-Party Beneficiaries

Apple, Google, Shopify, Shopify Collabs, social-media networks, payment processors, and other third-party platforms are separate service providers. Unless their own terms provide otherwise, they are not parties to these Affiliate Terms, are not responsible for MOONCHILD’s Affiliate Program, and are not intended third-party beneficiaries of the agreement between MOONCHILD and the Affiliate.

Affiliates must comply with applicable third-party platform terms in addition to these Affiliate Terms. If a platform prohibits an activity, the Affiliate may not rely on these Affiliate Terms as permission to engage in it.

39. Governing Law; Disputes; Legal Notices

The governing-law, venue, dispute-resolution, arbitration (if any), class-action waiver (if any), notice, and related legal provisions in MOONCHILD’s then-current Terms of Use are incorporated by reference and apply to these Affiliate Terms to the extent enforceable. This section intentionally refers to the Terms of Use so the Affiliate Program does not create a conflicting dispute framework.

40. Electronic Communications and Signatures

The Affiliate consents to receive Program notices, approvals, Affiliate Offers, payment communications, updates, and other Program information electronically at the email address, dashboard, platform account, or other contact method associated with the Affiliate. Electronic acceptance, click-through acceptance, and electronic records may be used to form and evidence the agreement to the extent permitted by law.

41. Assignment

An Affiliate may not assign or transfer Program participation, Referral Tools, or rights under these Affiliate Terms without MOONCHILD’s prior written consent. MOONCHILD may assign these Affiliate Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, corporate restructuring, or transfer of the Program, subject to applicable law.

42. Severability; Waiver

If a provision of these Affiliate Terms is held invalid, illegal, or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A failure or delay by MOONCHILD to enforce a provision is not a waiver of that provision or any other right.

43. Entire Agreement; Priority

These Affiliate Terms, the MOONCHILD Terms of Use, Privacy Policy, applicable Affiliate Offer, applicable platform terms, any campaign brief, and any separate written agreement signed by the parties constitute the agreement governing Program participation. In the event of a direct conflict, the order of priority is: (1) a separate written agreement signed by MOONCHILD for the specific subject; (2) the Affiliate Offer for variable commercial terms; (3) these Affiliate Terms for affiliate-specific matters; and (4) the MOONCHILD Terms of Use for general terms, unless applicable law requires otherwise.
